Your use of Swiftaudit is governed by this agreement. "SMS" means Spring Management Systems Inc., located at 3830 Packard Road, Suite 200, Ann Arbor, MI 48108, United States, and its subsidiaries or affiliates involved in providing Swiftaudit.2. Not Medical Advice; U.S. Use Only

You may not access Swift Autit other than by the interfaces provided by SMS or interfere with or disrupt the proper operation in any other way of Swiftaudit.
SMS and its Licensors own all proprietary rights to Swiftaudit. SMS gives you a personal, revocable, non-assignable, and non-exclusive license to use Swiftaudit. In the event that SMS becomes aware that you have shared your Swiftaudit access information or that you have violated these terms, or for any other reason, SMS may terminate your account. No refunds will be offered at this point.8. Modification and Termination of Swiftaudit
SMS may place limits on, modify, suspend or terminate Swiftaudit generally, and may suspend or terminate your use of Swiftaudit if you fail to comply with this agreement. This suspension or termination may delete your information, files, and other previously available content9. Changes to this Agreement
SMS may change this agreement and will post the modified agreement at https://www.Swiftaudit.com/home/tos. If you do not agree to the modified agreement, you should stop using Swiftaudit. Your continued use of Swiftaudit after the date the modified agreement is posted will constitute your acceptance of the modified agreement.10. Indemnification
You agrees to indemnify, protect, and hold harmless SMS and its agents from all fines, claims, demands, losses, costs, expenses, fees including attorney fees, judgments and suits in law (and upon request shall defend same at your expense) that may be asserted against SMS that result from the acts or omissions of you in your use or representation of Swiftaudit, or from your services based on the your use of Swiftaudit.10. Exclusion of Warranties
NEITHER SMS NOR ANY OF SMS'S LICENSORS MAKE ANY EXPRESS WARRANTIES, AND EACH OF THEM DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING IMPLIED WARRANTIES OF ACCURACY, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. CONTENT IN Swiftaudit IS DEVELOPED FOR USE IN THE UNITED STATES, AND NEITHER SMS NOR ANY OF SMS'S LICENSORS MAKE ANY REPRESENTATION CONCERNING THE CONTENT WHEN USED IN ANY OTHER COUNTRY.11. Limitation of Liability
TO THE MAXIMUM EXTENT POSSIBLE UNDER APPLICABLE LAW, IN NO EVENT SHALL SMS OR ITS SUPPLIERS BE LIABLE FOR ANY DAMAGES WHATSOEVER (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF BUSINESS PROFITS, BUSINESS INTERRUPTION, LOSS OF BUSINESS INFORMATION, OR OTHER PECUNIARY LOSS) ARISING OUT OF THE USE OR INABILITY TO USE Swiftaudit, EVEN IF SMS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THE WARRANTIES AND LIABILITY OF Swiftaudit IS PROVIDED "AS IS" WITHOUT ANY LIABILITY TO SMS, INCLUDING WITHOUT LIMITATION, NO LIABILITY FOR CONSEQUENTIAL OR SPECIAL DAMAGES, OR OR LOST PROFITS FOR SEQUENCE, ACCURACY, OR COMPLETENESS OF DATA, OR THAT IT WILL MEET YOUR REQUIREMENTS. SOME STATES/JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, SO THE ABOVE LIMITATION MAY NOT APPLY TO YOU.
The limitations of liability in this Section do not apply to breaches of intellectual property provisions or indemnification obligations.
If you have not signed a separate written agreement with SMS related to Swiftaudit, this agreement is the entire agreement between you and SMS related to Swiftaudit, replacing any prior agreements. If there is any conflict between this agreement and a signed written agreement between you and SMS related to Swiftaudit, the signed written agreement will control.
This Agreement is governed by the laws of the State of Michigan. All claims must consent to venue and jurisdiction in the State of Michigan, in Washtenaw County.
By using Swiftaudit, you consent to receiving electronic communications from SMS. These communications may include notices about your account and information concerning or related to Swiftaudit. You agree that any notices, agreements, disclosures, or other communications that we send to you electronically will satisfy any legal communication requirements, including that such communications be in writing.14.
